These Terms of Service (the "Terms") govern your access to and use of the Telenow voice-AI agent platform and related websites, dashboards, APIs, and services (collectively, the "Services") provided by Telenow ("Telenow", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you accept these Terms on behalf of yourself and the organization you represent. If you do not agree to these Terms, do not use the Services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Service

Telenow provides a platform that enables customers to build, configure, and operate AI agents that place and receive phone and web-based voice calls, including capabilities such as speech recognition, language model reasoning, voice synthesis, call routing, transcription, and analytics. The Services may evolve over time, and we may add, modify, or remove features.

3. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services, which are intended for business use. You are responsible for maintaining the confidentiality of your account credentials and API keys, for all activity that occurs under your account, and for ensuring your users comply with these Terms. Notify us promptly of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Services to engage in unlawful, harmful, or abusive activity. Without limitation, you must not:

  • place illegal robocalls, unsolicited bulk calls, or spam, or otherwise violate telemarketing, autodialer, or do-not-call laws;
  • transmit fraudulent, deceptive, harassing, threatening, or misleading content, including impersonation or vishing;
  • violate the privacy or communications rights of any person, or record or monitor calls without required consent;
  • infringe intellectual property rights or distribute malware or harmful code;
  • attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Services or related systems; or
  • use the Services in violation of applicable law or any carrier or third-party provider policy.

Compliance with telemarketing and call-consent laws, including the Telephone Consumer Protection Act (TCPA), state autodialer laws, and do-not-call (DNC) registry requirements, is your responsibility. You are solely responsible for the lawfulness of the calls you place and receive and the content of your agents.

5. Customer Responsibilities

You are responsible for obtaining and maintaining all consents, permissions, and disclosures required to place outbound calls, to record, transcribe, and process calls, and to contact the individuals your agents reach. You must scrub call lists against applicable do-not-call and suppression lists, honor opt-out requests, and provide any legally required identification and disclosures during calls. You are responsible for the configuration, prompts, scripts, and behavior of the agents you deploy.

6. Fees and Billing

The Services are offered on a usage-based model, including per-minute charges for call time and charges for telephony, AI processing, and other consumption, plus any subscription or platform fees described in your plan or order. Unless otherwise agreed, fees are billed in arrears based on metered usage and are due upon invoice. Fees are exclusive of taxes, which you are responsible for. Charges are non-refundable except as required by law. We may suspend the Services for non-payment after notice, and we may update pricing prospectively on reasonable notice.

7. API and Rate Limits

Your use of our APIs is subject to authentication requirements, documented rate limits, and concurrency limits, which we may adjust to protect the stability and security of the Services. We may throttle, suspend, or restrict access that exceeds applicable limits or that we reasonably believe is abusive, automated beyond permitted use, or harmful to the Services or other customers.

8. Third-Party Services

The Services interoperate with third-party providers, including telephony carriers (such as Plivo and Twilio) and AI model providers for language, speech-to-text, and text-to-speech processing. Your use of those third-party services may be subject to their own terms, and we are not responsible for the acts, omissions, availability, or content of third parties. We may change sub-processors and integrated providers from time to time.

9. Intellectual Property

The Services, including all software, models, interfaces, and documentation, and all related intellectual property rights, are owned by Telenow and our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. You retain ownership of content and data you submit. You may not copy, modify, distribute, sell, or create derivative works of the Services except as expressly permitted.

10. Customer Data and Confidentiality

As between the parties, you retain all rights to the call recordings, transcripts, and other data you submit to or generate through the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, secure, and support the Services and as described in our Privacy Policy. Each party agrees to protect the other's confidential information using reasonable care and to use it only as permitted under these Terms.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS, TRANSCRIPTS, OR CALL OUTCOMES WILL BE ACCURATE OR RELIABLE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELENOW AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Telenow and its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your Customer Data, the calls you place or receive, your agents' content, or your violation of these Terms or applicable law, including telemarketing and call-consent laws.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Services in a manner that creates legal, security, or reputational risk. Upon termination, your right to use the Services ceases, and we may delete Customer Data in accordance with our Privacy Policy and retention practices. Provisions that by their nature should survive termination will survive.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Telenow is established, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts located in that jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
